1. Acceptance of Terms

Welcome to Mochi Zen. These Terms of Service ("Terms") govern your access to and use of the Mochi Zen mobile application, web application, and related services (collectively, the "Service") operated by Mochi Zen LLC ("we," "our," or "us"), a limited liability company organized under the laws of the State of Florida, located in Miami, FL.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Mochi Zen is a weight loss hypnotherapy application that provides:

  • Guided Hypnotherapy Sessions: Audio-based hypnotherapy sessions designed to support weight management and healthy habits.
  • Journaling: A personal journal for tracking thoughts, feelings, and progress.
  • Weight Tracker: Tools to log and monitor weight over time.
  • Food & Nutrition Logging: Manual food entry and AI-powered meal photo analysis to estimate nutritional content.
  • Macros Calculator: Tools to calculate and track daily macronutrient targets.
  • Progress Tracking: Session completion tracking, streaks, and listening statistics.

3. Eligibility

You must be at least 13 years of age (or the applicable age of consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

4.1 Account Creation

To access certain features of the Service, you must create an account by providing a valid email address and password. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password secure and confidential.
  • Accept responsibility for all activities that occur under your account.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@mochi-zen.com if you become aware of any unauthorized use of your account.

5. Subscriptions and Payments

5.1 Free and Paid Content

The Service offers a limited number of free hypnotherapy sessions. Access to the full library of sessions and premium features requires a paid subscription.

5.2 Subscription Plans

  • Annual Subscription: $120 USD per year (equivalent to $10/month).
  • Subscription pricing is subject to change. We will notify you of any price changes before your next renewal period.

5.3 Payment Processing

Payments are processed through the following third-party platforms depending on how you access the Service:

  • Apple App Store (iOS devices)
  • Google Play Store (Android devices)
  • Stripe (web application)

All payments are subject to the terms and conditions of the respective payment processor. We do not directly store your credit card or payment instrument details.

5.4 Billing and Renewal

  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • You will be charged through your original payment method at the then-current subscription rate.

5.5 Cancellation

  • iOS: Manage or cancel your subscription through your Apple ID settings.
  • Android: Manage or cancel your subscription through Google Play Store settings.
  • Web: Manage or cancel your subscription through your account settings or by contacting us at support@mochi-zen.com.

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your current subscription term.

5.6 Refunds

Refund policies are governed by the respective app store or payment processor:

  • Apple App Store: Refunds are handled by Apple per their refund policy.
  • Google Play Store: Refunds are handled by Google per their refund policy.
  • Stripe (Web): Please contact us at support@mochi-zen.com for refund requests. Refunds are evaluated on a case-by-case basis.

6. User Content

6.1 Your Content

You retain ownership of all content you create through the Service, including journal entries, weight logs, food logs, and meal photos ("User Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing and improving the Service.

6.2 Meal Photo Analysis

When you upload meal photos for nutritional analysis:

  • Your photos are uploaded to secure cloud storage (AWS S3).
  • Photos are sent to Google Gemini AI for automated nutritional analysis.
  • The AI analysis provides estimated nutritional information and is not guaranteed to be accurate.
  • You acknowledge that AI-generated nutritional estimates are approximations and should not be relied upon as precise dietary or medical advice.

6.3 Prohibited Content

You agree not to upload, post, or transmit any content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Infringes on any intellectual property rights of any party.
  • Contains software viruses or any other code designed to disrupt the Service.
  • Violates any applicable local, state, national, or international law.

7. Health and Medical Disclaimer

7.1 Not Medical Advice

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. The hypnotherapy sessions, nutritional information, weight tracking tools, and all other features provided through the Service are for general wellness and informational purposes only.

7.2 Consult Your Healthcare Provider

You should always consult with a qualified healthcare professional before:

  • Starting any weight loss program.
  • Making significant changes to your diet or exercise routine.
  • Relying on any nutritional information provided by the Service, including AI-generated meal analysis.
  • Using hypnotherapy if you have any mental health conditions.

7.3 AI Nutritional Analysis Disclaimer

The AI-powered meal analysis feature provides estimated nutritional information only. These estimates may be inaccurate and should not be used as the sole basis for dietary decisions, especially if you have specific medical or dietary requirements.

7.4 No Guaranteed Results

We do not guarantee any specific health outcomes, weight loss results, or therapeutic benefits from using the Service. Individual results may vary.

8. Intellectual Property

8.1 Our Content

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Mochi Zen LLC. This includes, but is not limited to:

  • Hypnotherapy session scripts and audio recordings.
  • AI-generated voice recordings.
  • App design, graphics, logos, and branding.
  • Software code and underlying technology.

8.2 Trademarks

"Mochi Zen" and the Mochi Zen logo are trademarks of Mochi Zen LLC. You may not use our trademarks without our prior written consent.

8.3 Restrictions

You agree not to:

  • Copy, modify, or distribute any part of the Service without our written permission.
  • Reverse engineer, decompile, or disassemble the Service.
  • Record, redistribute, or share hypnotherapy session audio.
  • Use the Service for any commercial purpose without our authorization.
  • Remove any copyright, trademark, or other proprietary notices from the Service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Termination

10.1 By You

You may terminate your account at any time by contacting us at support@mochi-zen.com. Upon termination, your right to use the Service will immediately cease.

10.2 By Us

We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe:

  • Violates these Terms.
  • Is harmful to other users, us, or third parties.
  • Is fraudulent or illegal.

10.3 Effect of Termination

Upon termination:

  • Your license to use the Service is revoked.
  • We may delete your account data, subject to our data retention obligations.
  • Any outstanding subscription fees remain due and payable.
  • Provisions of these Terms that by their nature should survive termination will survive (including Sections 7, 8, 11, 12, and 13).

11. Disclaimers

11.1 "As Is" and "As Available"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Warranty

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The results obtained from the Service will be accurate or reliable.
  • Any errors in the Service will be corrected.
  • The AI-powered meal analysis will provide accurate nutritional information.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOCHI ZEN LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service, including AI-generated nutritional estimates.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Any health decisions made based on information provided by the Service.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Mochi Zen LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of and access to the Service.
  • Your violation of these Terms.
  • Your violation of any third-party right, including any intellectual property or privacy right.
  • Any content you submit or transmit through the Service.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts located in Miami-Dade County, Florida.

14.3 Waiver of Class Action

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms within the app or on our website. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mochi Zen LLC regarding the Service and supersede all prior agreements and understandings.
